Terms of Service
Terms governing your use of roboflux.pro and your relationship with RoboFlux Inc. Effective and last updated: 14 July 2026.
1. Agreement to terms
By accessing or using the website roboflux.pro (the "Website") or by engaging RoboFlux Inc. ("RoboFlux," "we," "us," or "our") for professional robotics engineering and automation-flow services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Website or engage our Services.
These Terms apply to all visitors, enquirers, and clients. Specific professional services engagements are additionally governed by signed statements of work, master service agreements, or other written contracts ("Project Contracts"). Where a Project Contract conflicts with these Terms, the Project Contract prevails for that engagement.
2. About RoboFlux and the .pro domain
RoboFlux Inc. is a corporation incorporated in Ontario, Canada, with its principal place of business at 89 Niagara Street, Suite 105, Toronto, ON M5V 1C3. Business Number: 713625849 RC0001.
We operate on the .pro top-level domain, which is designated for professional and professional-service registrants. RoboFlux is a professional robotics engineering and systems-integration practice — not a consumer e-commerce store, not a self-serve software product, and not a robot hardware distributor. The name RoboFlux combines "Robo" (robotics systems) with "Flux" (flow), reflecting our focus on automation-flow engineering: making material, information, and control signals move through production and logistics operations without the starvation events and integration gaps that stall throughput.
3. Nature of services
RoboFlux provides professional engineering services including robot perception, computer vision, motion planning, control systems, PLC and ROS systems integration, automation cell and line-flow design, throughput optimisation, and functional safety validation support. Services are offered exclusively to business clients in manufacturing, warehousing, and logistics.
We are a robotics consultancy and integration studio. We do not sell robots off a catalogue, operate a consumer marketplace, or provide certification, regulatory sign-off, legal compliance advice, or financial advisory services. Illustrative budget figures published on the Website are for scoping conversations only and do not constitute binding quotes or offers.
4. Website use
You may use the Website for lawful purposes consistent with these Terms. You agree not to:
- Use the Website in any way that violates applicable federal, provincial, or local law;
- Attempt to gain unauthorised access to our systems, networks, or data;
- Transmit malware, spam, or automated scraping tools that impose unreasonable load;
- Misrepresent your identity or affiliation when submitting enquiries;
- Reproduce, distribute, or create derivative works from Website content without written permission;
- Use the Website to solicit engagements involving weapons, autonomous weapons, or surveillance of individuals — we will decline such work.
We reserve the right to restrict or terminate access to the Website for conduct that violates these Terms or threatens the security or integrity of our systems.
5. Enquiries and contact form
When you submit an enquiry through our contact form or email, you represent that the information you provide is accurate and that you have authority to submit it if acting on behalf of an organisation. Submission of an enquiry does not create a client relationship or obligate RoboFlux to accept a project.
Contact form data is handled in accordance with our Privacy Policy. You must provide explicit PIPEDA consent via the unchecked consent checkbox before submitting personal information.
6. Professional engagements
A client relationship is formed only when both parties execute a Project Contract. Project Contracts define scope, deliverables, timelines, fees in CAD, acceptance criteria, change-order procedures, intellectual property allocation, confidentiality obligations, and data handling terms.
RoboFlux assigns senior engineers to scoped work. We do not guarantee that specific individuals will remain on a project for its entire duration, but we ensure continuity through documented handoff procedures.
Client responsibilities typically include providing timely access to facilities, production data, existing control system documentation, safety personnel for joint review, and decisions on change requests within agreed timeframes. Delays caused by client unavailability may affect timelines and costs.
7. Fees and payment
Fees are quoted in Canadian dollars (CAD) unless otherwise stated in a Project Contract. Payment terms, milestones, and late-payment interest (if any) are defined in the Project Contract. We do not guarantee return on investment, specific throughput improvements, or cost savings resulting from our engineering work.
Retainer arrangements, where offered, specify monthly engineering hours, response-time targets, and renewal terms. Unused retainer hours may or may not roll over per contract terms.
8. Intellectual property
Website content — text, images, design, branding, and code — is owned by RoboFlux Inc. and protected by copyright and trademark law. "RoboFlux" and the RoboFlux logo are trademarks of RoboFlux Inc.
For professional engagements, intellectual property allocation is defined in the Project Contract. Unless otherwise agreed, custom integration code, perception pipelines, and project-specific documentation created for a client are assigned to the client upon final payment. RoboFlux retains rights to general-purpose libraries, methods, and know-how developed prior to or independently of the engagement.
Client-provided data, trade secrets, and production imagery remain the client's property. RoboFlux uses client data only for scoped project purposes as described in the Project Contract and our Privacy Policy.
9. Confidentiality
Both parties agree to protect confidential information disclosed during enquiries and engagements. RoboFlux does not publish client names, logos, or project metrics without written permission. Case studies on the Website are anonymised illustrations.
Confidentiality obligations survive termination of an engagement for the period specified in the Project Contract, or five (5) years if not specified.
10. Safety, AI, and operational disclaimers
Civilian robotics only. RoboFlux designs and integrates civilian industrial robotics. We do not build, integrate, or support weapons, autonomous weapons, or systems intended for surveillance of individuals.
AI and perception limitations. Machine learning and edge AI assist robot perception but can fail, misclassify, or drift as environmental conditions change. We design human-in-the-loop validation gates and fallback procedures, but we do not warrant that AI systems will perform without error under all conditions.
Functional safety. Our safety engineering aligns with recognized standards including ISO 10218, ISO/TS 15066, and applicable CSA requirements. We provide documentation to support your internal safety review. We are not a certification body. We do not provide regulatory sign-off. Final workplace safety approval remains the client's responsibility as employer and equipment operator.
No zero-incident guarantee. No engineering provider can guarantee zero workplace incidents or a fully hands-off, unattended operation. Workplace safety is a shared responsibility. Clients must maintain their own safety programmes, operator training, and regulatory compliance.
No performance guarantees. We do not guarantee specific ROI, throughput percentages, cycle-time reductions, uptime levels, or production volumes. Outcomes depend on client equipment, operator practices, production variability, and factors outside our control.
11. Warranties and disclaimer
THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Professional services are performed with reasonable skill and care consistent with industry standards for robotics engineering. Express warranties, if any, are stated in the Project Contract. We disclaim all other warranties not expressly set out in a signed Project Contract.
Information on the Website — including illustrative budget ranges, timelines, and case study descriptions — is for general information only and does not constitute professional advice, an offer, or a binding commitment.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBOFLUX INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, PRODUCTION, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE WEBSITE OR FROM PROFESSIONAL SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RoboFlux's aggregate liability for any claim arising from a specific Project Contract shall not exceed the fees paid by the client under that contract in the twelve (12) months preceding the claim, except where liability cannot be limited under applicable law (including liability for death or personal injury caused by negligence, or fraud).
Clients acknowledge that robotics integration on active production floors carries inherent operational risk. Clients are responsible for maintaining appropriate insurance coverage for their operations.
13. Indemnification
You agree to indemnify and hold harmless RoboFlux Inc. and its personnel from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, your violation of law, or your operation of integrated systems outside the documented parameters and runbooks we provide — except to the extent caused by RoboFlux's gross negligence or wilful misconduct.
14. Third-party products and services
RoboFlux integrates third-party hardware and software — robot arms, cobots, AMR platforms, PLCs, cameras, and middleware — as directed by project scope. We are not responsible for third-party product defects, firmware bugs, end-of-life notices, or licence compliance for products procured by the client. We will advise on integration compatibility during feasibility review.
15. Termination
Website access may be restricted at our discretion. Project Contracts define termination rights, notice periods, payment for work performed, and deliverable handover. Upon termination, each party returns or destroys confidential information per contract terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario for disputes arising from these Terms or Website use, except where consumer protection legislation in your province grants non-waivable rights to bring proceedings elsewhere.
Disputes arising from Project Contracts are resolved per the dispute resolution clause in the applicable contract, or failing that, under Ontario law in Ontario courts.
17. Privacy and cookies
Your use of the Website is subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
18. Changes to terms
We may update these Terms to reflect changes in our services, legal requirements, or business practices. Updated Terms are posted on this page with a revised effective date. Continued use of the Website after changes constitutes acceptance. Material changes to terms affecting active Project Contracts require agreement through contract amendment.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. The unenforceable provision is modified to the minimum extent necessary to make it enforceable while preserving its intent.
20. Entire agreement
For Website use, these Terms together with the Privacy Policy and Cookie Policy constitute the entire agreement between you and RoboFlux regarding the Website. For professional services, the Project Contract together with these Terms (where incorporated) constitutes the entire agreement.
